Capitalized terms used in this These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between AG5 Solutions ("AG5 Solutions," "we," "our," or "us") and you ("you," "your," or "User"), governing your access to and use of our website located at https://ag5solutions.com, our digital marketing and social media services, and all communications channels through which we interact with you, including SMS/text messaging, email, phone calls, and voicemail.
By visiting our website, submitting a contact or lead form, booking an appointment, opting in to receive SMS messages, or engaging with any of our services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference and available at https://ag5solutions.com/privacy-policy.
If you do not agree to these Terms, you must not use our website or services.
AG5 Solutions reserves the right to update these Terms at any time. Continued use of our website or services after any modification constitutes your acceptance of the revised Terms.

Description of Services

AG5 Solutions is a digital marketing agency and social media services company headquartered in Port St. Lucie, Florida. We provide the following core services:
• Paid advertising management across platforms including Google Ads and Meta (Facebook/Instagram) Ads
• Social media account management and content creation
• Marketing funnel strategy, design, and implementation
• Marketing automation and customer relationship management (CRM) setup and management
• Lead generation campaigns and follow-up sequences
• Appointment scheduling and calendar management
• Email, SMS, phone call, and voicemail outreach campaigns
• Campaign performance reporting and analytics
All services are delivered primarily through the GoHighLevel platform, which serves as AG5 Solutions' CRM, funnel builder, marketing automation engine, and multi-channel communications system. Additional tools used in service delivery include Stripe (payment processing), Google Analytics, Google Tag Manager, and the Meta Pixel.
The scope, deliverables, and pricing of any specific engagement will be outlined in a separate service agreement, proposal, or order form executed between AG5 Solutions and the client.

User Responsibilities

By accessing our website or engaging with our services, you agree to:
• Provide accurate, current, and complete information when submitting forms, booking appointments, or entering into a service agreement with AG5 Solutions
• Maintain the confidentiality of any account credentials, login information, or access details provided to you in connection with our services
• Promptly notify AG5 Solutions of any unauthorized access to your account or any other security concern at [email protected]
• Comply with all applicable federal, state, and local laws and regulations in connection with your use of our services
• Not use our services for any unlawful, deceptive, fraudulent, or harmful purpose
• Not engage in any conduct that interferes with, disrupts, or damages our systems, infrastructure, or third-party platforms
• Not misrepresent your identity, business, or the nature of your inquiry when communicating with AG5 Solutions
If you are a client of AG5 Solutions, you are also responsible for providing timely access to assets, accounts, and information necessary for us to deliver the agreed-upon services, and for reviewing and approving deliverables within the timeframes specified in your service agreement.

Acceptable Use

You agree not to use our website, services, or any communications channel managed by AG5 Solutions to:
• Transmit, distribute, or promote content that is unlawful, defamatory, harassing, abusive, fraudulent, obscene, or otherwise objectionable
• Violate the intellectual property rights of AG5 Solutions or any third party
• Engage in spamming, phishing, or any unsolicited commercial communication in violation of applicable law, including the CAN-SPAM Act and the Telephone Consumer Protection Act (TCPA)
• Attempt to gain unauthorized access to our systems, platforms, client data, or any connected third-party systems
• Introduce malware, viruses, or any other malicious code into our systems or platforms
• Reverse engineer, decompile, or otherwise attempt to extract source code from any software used in our services
• Use automated tools, bots, or scrapers to access or interact with our website without our prior written consent
AG5 Solutions reserves the right, in its sole discretion, to terminate access to our services and communications channels for any user who violates these acceptable use standards, without prior notice and without liability.

SMS Messaging Terms (Text Messaging Program)

AG5 Solutions operates an SMS/text messaging program through its GoHighLevel communications platform. The following terms govern your participation in our text messaging program.

5.1 Program Description

When you opt in to receive SMS messages from AG5 Solutions, you may receive text messages related to our digital marketing and social media services, including appointment confirmations and reminders, follow-up messages after consultations or discovery calls, promotional and informational messages about AG5 Solutions’ services and offers, marketing campaign updates and status notifications, lead nurture and re-engagement sequence messages, and time-sensitive business communications related to your account or active campaigns.

5.2 How to Opt In

You may opt in to our SMS program through any of the following methods:
• Submitting a web form on our website or a landing page that includes a visible SMS consent disclosure
• Booking an appointment through our scheduling system and acknowledging the SMS consent notice at the time of booking
• Replying to an outbound message with a keyword confirming enrollment (e.g., YES, JOIN, or START)
• Providing verbal consent during a phone call with an AG5 Solutions representative, who will document your opt-in
Your consent to receive SMS messages is never required as a condition of purchasing any product or service from AG5 Solutions.

5.3 Opt-Out Instructions

You can cancel the SMS service at any time. Just text STOP to 772-301-5031. After you send the SMS message STOP to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

5.4 Help Instructions

5.5 Message Frequency

You will receive messages based on your opt-in type, active campaigns, and appointment activity. Message frequency may vary and you may receive up to several messages per week. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

5.6 Message & Data Rates

As always, message and data rates may apply for any messages sent to you from us and to us from you.

5.7 Carrier Liability

Carriers are not liable for delayed or undelivered messages. AG5 Solutions is not responsible for any delays or failures in message delivery attributable to your wireless carrier’s network or systems.

5.8 SMS Data Privacy

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties, except for aggregators and providers of the Text Message services.

Email Communications

AG5 Solutions may send you transactional and marketing emails through its GoHighLevel platform. By providing your email address and submitting a form or entering a service agreement with AG5 Solutions, you consent to receive transactional emails related to your account, services, or appointments.
If you have opted in to marketing emails, you may also receive promotional content about AG5 Solutions’ services. You may opt out of marketing emails at any time by clicking the “Unsubscribe” link in any marketing email or by contacting us at [email protected]. Transactional emails related to active services or appointments may continue regardless of your marketing email preferences.
All email communications comply with the requirements of the CAN-SPAM Act, including identification of the sender, a valid physical postal address, and a clear opt-out mechanism.

Phone Calls & Voicemail

AG5 Solutions may contact you by telephone or voicemail using phone numbers managed through the GoHighLevel communications platform. Calls may be placed from tracked or managed numbers associated with AG5 Solutions’ business lines.
Calls may be recorded for quality assurance, training, and legal compliance purposes. You will be notified of call recording prior to the call proceeding. By continuing on a recorded call after receiving this notice, you consent to the recording.
AG5 Solutions may use voicemail drop technology as part of approved outreach sequences. If you do not wish to receive calls or voicemail from AG5 Solutions, you may notify us verbally during a call or submit a written request to [email protected] or to the mailing address listed in Section 14.

Payments & Billing

AG5 Solutions processes payments through Stripe, Inc., a PCI-DSS Level 1 certified payment processor. By providing your payment information, you authorize AG5 Solutions to charge the fees described in your service agreement or invoice.
• All fees are stated in U.S. dollars and are non-refundable unless otherwise specified in your service agreement or required by applicable law
• Recurring billing, if applicable, will be described in your service agreement. You authorize AG5 Solutions to charge your payment method on the billing cycle specified in that agreement
• In the event of a failed payment, AG5 Solutions reserves the right to suspend or terminate services until the outstanding balance is paid in full
• Any disputed charges must be raised with AG5 Solutions in writing within thirty (30) days of the charge date
• AG5 Solutions reserves the right to modify its pricing at any time. Existing clients will be provided at least thirty (30) days’ advance written notice of any price changes affecting their active service agreements
AG5 Solutions does not store full payment card numbers or CVV codes on its own servers. All payment data is handled by Stripe in accordance with their security and privacy standards. Please review Stripe’s Privacy Policy at https://stripe.com/privacy.

Intellectual Property

The Service is provided without guarantees of uninterrupted operation. Please review the specific disclaimers below:

9.1 AG5 Solutions’ Intellectual Property

All content on the AG5 Solutions website (https://ag5solutions.com), including but not limited to text, graphics, logos, images, videos, software, and service methodologies, is the property of AG5 Solutions or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, display, or create derivative works from any AG5 Solutions content without our express prior written consent.

9.2 Client Assets

Any creative assets, brand materials, content, data, or intellectual property provided by you or your business to AG5 Solutions for use in service delivery remains your property. By providing such assets, you grant AG5 Solutions a limited, non-exclusive license to use those assets solely for the purpose of delivering the services described in your service agreement.

9.3 Work Product

Ownership of creative deliverables, campaign assets, and other work product produced by AG5 Solutions on your behalf will be governed by the terms of your individual service agreement. Unless otherwise agreed in writing, AG5 Solutions retains all rights to its proprietary methodologies, frameworks, templates, and processes.

Disclaimers

AG5 SOLUTIONS PROVIDES ITS WEBSITE AND SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
AG5 Solutions does not warrant that:
• Our website or services will be uninterrupted, error-free, or free of viruses or other harmful components
• Results obtained from the use of our services (including advertising campaigns) will meet your specific expectations or performance targets
• Any errors in our website or services will be corrected within a specific timeframe
Digital advertising results, including but not limited to impressions, clicks, leads, and conversions, are subject to platform algorithms, market conditions, competition, and other factors outside AG5 Solutions’ control. AG5 Solutions does not guarantee specific advertising performance outcomes.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AG5 SOLUTIONS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE OUR WEBSITE, SERVICES, OR COMMUNICATIONS CHANNELS, EVEN IF AG5 SOLUTIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL AG5 SOLUTIONS’ TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO AG5 SOLUTIONS IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, AG5 Solutions’ liability will be limited to the greatest extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless AG5 Solutions and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your infringement of any intellectual property or other rights of any third party
• Any content, data, or materials you provide to AG5 Solutions for use in connection with our services
• Your use of our website or services in a manner inconsistent with these Terms
AG5 Solutions reserves the right to assume exclusive control of the defense of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with AG5 Solutions in such defense at your expense.

Termination

Either party may terminate a service engagement with AG5 Solutions in accordance with the notice and termination provisions outlined in the applicable service agreement. Where no separate agreement exists, AG5 Solutions may suspend or terminate your access to our website and communications channels at any time, with or without cause, and with or without notice.
AG5 Solutions may immediately suspend or terminate your access to our services if:
• You materially breach these Terms or your service agreement
• You engage in conduct that is harmful, fraudulent, or damaging to AG5 Solutions, its clients, or third parties
• You violate any applicable law or regulation in connection with our services
• Required to do so by applicable law or at the direction of a regulatory authority
Upon termination, your right to use our website and services ceases immediately. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) shall survive.

Force Majeure

AG5 Solutions shall not be liable for any delay, failure, or interruption in the performance of its obligations under these Terms or any service agreement where such delay or failure results from causes beyond AG5 Solutions’ reasonable control, including but not limited to:
• Acts of God, natural disasters, floods, fires, earthquakes, or extreme weather events
• Pandemics, epidemics, or public health emergencies declared by a governmental authority
• War, terrorism, civil unrest, riots, or government-imposed sanctions or embargoes
• Strikes, labor disputes, or workforce shortages not caused by AG5 Solutions
• Failures or outages of third-party platforms, telecommunications networks, internet service providers, or cloud infrastructure (including but not limited to GoHighLevel, Google, Meta, or Stripe)
• Government regulations, actions, or orders that prevent or restrict AG5 Solutions from performing its services
• Cyberattacks, hacking, or denial-of-service attacks on AG5 Solutions’ systems or third-party platforms outside our control
In the event of a force majeure occurrence, AG5 Solutions will notify affected clients as soon as reasonably practicable and will use commercially reasonable efforts to resume performance as quickly as possible. If the force majeure event continues for a period exceeding sixty (60) consecutive days, either party may terminate the affected service agreement upon written notice without penalty, and AG5 Solutions will refund any prepaid fees for services not yet rendered during the force majeure period.
A force majeure event does not excuse either party from payment obligations for services already delivered prior to the event.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the state and federal courts located in St. Lucie County, Florida, and you hereby consent to personal jurisdiction in those courts.
Before initiating any legal proceeding, you agree to contact AG5 Solutions in good faith to attempt to resolve the dispute informally. Written notice of the dispute must be sent to [email protected]. The parties agree to negotiate in good faith for a period of thirty (30) days from the date of written notice before pursuing formal legal remedies.
These Terms are governed by applicable federal law where federal jurisdiction applies, including but not limited to the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and the Federal Trade Commission Act.

Changes to Terms

AG5 Solutions reserves the right to modify, update, or replace these Terms at any time at our sole discretion. When we make material changes, we will update the “Last Updated” date at the top of this document and, where appropriate, notify active clients by email.
Your continued use of our website or services, or your continued participation in our SMS messaging program, following the posting of revised Terms constitutes your acceptance of those changes. We encourage you to review these Terms periodically. If you do not agree to the revised Terms, you must discontinue use of our website and services and opt out of all communications programs.
